BRAC Uganda Bank Ltd has the largest branch network (footprint) in the country, providing inclusive financial services to low-income communities predominantly women and a girl child who live in rural and hard-to-reach communities to enable them to build sustainable livelihoods. Our core credit products include a group-based microloan provided exclusively to women, and small enterprise loans for entrepreneurs seeking to expand their businesses. We also offer three types of savings products: Flex Save, a transactional account for borrowers and mid-to-low-income households; Wise Save, for formal and informal entrepreneurs, and salary-earners who wish to accumulate savings for a specific purpose; and Safe Save, for community-based savings and credit groups.

Job Description

To support and deputize the Head of Legal & Company Secretary in managing the Bank’s legal and governance framework. The role encompasses oversight of legal risk across the Bank, supervision of Legal Officers, and operational support in strengthening institutional governance, including Board administration, statutory compliance, policy governance, and regulatory reporting

Responsibilities

  • Provide day-to-day legal advice and oversight to internal stakeholders, supporting the Head of Legal in minimizing legal risk across the Bank.

  • Provide oversight on litigation and threatened claims against the Bank in collaboration with external counsel.

  • Guide the review, negotiation, and drafting of contracts, credit documents, and other legal instruments.

  • Monitor statutory and regulatory compliance, flagging emerging legal risks to Management.

  • Support disciplinary and recovery committees with legal input and document review.

  • Review legal opinion memos before escalation to the Head of Legal and Company Secretary.

  • Prepare periodic legal department reports for Management and Board-level review.

  • Support the Head of Legal and Company Secretary in managing Board and Committee affairs, including document preparation, compliance with Board charters, and minute review.

  • Oversee the implementation of corporate governance practices across departments.

  • Track and monitor regulatory obligations (e.g., BoU, URSB, FIA, AML compliance) and ensure timely filings and disclosures.

  • Coordinate Board induction and governance capacity-building sessions in consultation with the Company Secretary.

  • Manage Board document archives, resolutions, and execution tracking systems.

  • Draft and update governance-related policies and charters under supervision.

  • Supervise Legal Officers and oversee the department’s case allocation, performance, and capacity-building needs.

  • Lead the induction and mentorship of new legal staff, ensuring consistent case handling standards.

  • Ensure compliance with internal legal reporting requirements and SLA obligations.

  • Support the Head of Legal in building department-wide legal knowledge management resources. 

Requirements

  • Bachelor of Laws (LLB), Postgraduate Diploma in Legal Practice, and a valid practicing certificate.

  • A Master’s degree in Law is an added advantage.

  • Minimum of five (5) years of combined experience in a law firm and a regulated institution.

  • Proven experience supporting Boards, managing governance compliance, and supervising legal teams.

  • Strong knowledge of governance, banking, regulatory, and corporate law.

  • Analytical thinking with excellent research, drafting, and negotiation skills.

  • Team leadership and mentoring capacity.

  • High ethical standards and confidentiality.

  • Working knowledge of corporate governance codes and regulatory reporting obligations.

  • Familiarity with Banking, Finance, and Insurance Laws and best practices in the respective fields is an added advantage.

  • Self-driven with a high level of confidentiality.

  • Excellent communication and presentation skills.

  • Demonstrates discretion and sound judgment in applying legal expertise to sensitive, complex legal and administrative issues.
